Senior Legal/Compliance Administrator

This position is remote eligible in the contiguous U.S. but requires a quarterly onsite presence in our Fairfield, CA office.

The Senior Legal/Compliance Administrator performs high level legal process functions for the Company's Legal department and reports directly to the VP for Legal. This position is responsible for the maintenance of the Company's books and records and for interactions with California, Florida and Delaware Departments of Insurance on corporate matters, including dividends.

Essential Functions

  • Review, prepare, and modify company policies and procedures to ensure compliance.
  • Research corporate law matters, including state-specific property/casualty issues.
  • Develop drafts, finalize and file state corporate filings, correspondence, and similar documents.
  • Prepare and file Forms B and C annually, Form D as required, enterprise risk statements, dividend notices, and other corporate and regulatory related activities.
  • Responsible for completion of insurance company licensing application filings, renewal filings, subsequent supplemental documentation, and information requests.
  • Prepares renewal applications and maintains the company's corporate insurance policies. In addition, obtains and renews insurance bonds for licensed employees.
  • Create, coordinate, organize, and submit documents and responses for audit examinations, and participate in investigations involving alleged compliance rule discrepancies or violations as requested.
  • Compile and organize document productions in response to subpoenas and litigation matters and serve as Company Custodian of Records.
  • Preparation of minutes and written consents for each of the subsidiaries.
  • Maintenance of Agreements and Corporate Records Database; including corporate books and records for the operating company, its affiliates and subsidiaries.
  • Coordination of regular board and shareholder meetings for each of the subsidiaries.
  • Oversee contract management process.
  • Perform and maintain high level executive and management protocol.
  • May perform other related duties and special projects as assigned or requested to help carry out the company's mission and strategic goals and objectives.

Minimum Requirements

Education, training, and experience:

  • Bachelor's Degree or Paralegal Certification required (having both is a plus).
  • 5+ years paralegal/compliance and related experience required.
  • P&C Insurance industry experience highly preferred.
  • Insurance holding company filing experience highly preferred

Knowledge, skills, and abilities:

  • Ability to work with minimal supervision in a team environment and to influence others to ensure timely and accurate responses to regulatory requirements.
  • Superior analytical, communication, and organization skills, including the ability to prepare persuasive correspondence to regulators and other external parties and to articulate complex issues in an understandable manner.
  • Ability to maintain confidentiality and work efficiently and accurately under frequent time pressures.
  • Proficiency in the use of multiple word processing and PC-based software packages such as Word, Excel, PowerPoint, and SERFF.
  • Ability to work in a fast-paced working environment.
  • Ability to take ownership, handle multiple tasks with accuracy, working independently to prioritize effectively and meet deadlines.

California Residents: The base pay range for this role at the time of posting is estimated to be Min: $86,010 - Max: $143,350. We target the midpoint of the range; however, all compensation offers will be determined by various factors such as work location, education, experience, knowledge, and skills.
